Seller Application Agreement
In consideration of the mutual covenants and agreements set forth herein, the parties agree as follows:
- Platform Access. Subject to the terms and conditions of this Agreement, Online Platform shall permit Seller to access and use the Platform to offer and sell products and/or services to customers.
- Product Listings. Seller or supplier shall create and maintain accurate and complete listings of all products and/or services offered for sale through the Platform, including descriptions, images, pricing, and other information as required by Online Platform.
- Product Availability. Seller or supplier shall ensure that all products and/or services listed for sale through the Platform are available for purchase and delivery as described in the listing.
- Order Fulfillment. Seller or supplier shall be responsible for fulfilling all orders placed through the Platform, including packaging, shipping, and customer service.
- Payment and Fees. Online Platform shall remit payment for all products and/or services sold through the Platform, less any applicable fees or commissions, to Seller or supplier in accordance with Online Platform's payment policies.
- Representations and Warranties. Seller or supplier represents and warrants that: (a) it has the legal right and authority to offer and sell the products and/or services through the Platform; (b) all products and/or services listed for sale through the Platform comply with all applicable laws and regulations; (c) all information provided to Online Platform is accurate and complete; and (d) Seller or supplier will comply with all Online Platform policies and guidelines.
- Indemnification. Seller or supplier shall indemnify and hold harmless Online Platform, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) any breach of this Agreement by Seller; (b) any product or service offered or sold by Seller or supplier through the Platform; or (c) any dispute between Seller or supplier and a customer.
- Term and Termination. This Agreement shall commence on the date first written above and shall continue until terminated by either party upon written notice to the other party. Upon termination, Seller or supplier shall immediately cease offering and selling products and/or services through the Platform.
- Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the [state/country] without giving effect to any conflict of laws principles. Any legal action or proceeding arising out of or in connection with this Agreement shall be brought in the courts of [state/country], and each party hereby submits to the jurisdiction of such courts.
- The platform was established in Colorado, your online store has economic nexus with the state, and you need to collect sales tax based on sales or transaction volume. Economic nexus refers to a situation where there is no physical presence but a sufficient number of sales or transactions in the state. If your online store's monthly sales in Colorado exceed a certain threshold (depending on the specific region, please consult customer service for details), or if you have a certain number of transactions, you need to register and collect sales tax in Colorado.
- Early Closure Penalty. In the event that the Seller decides to close the store within three months of its opening, it is understood that the promotional expenses incurred by the platform during the initial period may not be fully recovered. Therefore, the Seller agrees to compensate the platform for these promotional expenses by paying a penalty equal to 10% of the total sales made on the platform. This penalty will be used to cover the platform's promotional costs. We kindly request the Seller's understanding and cooperation in this matter.
- Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings, whether written or oral, relating to such subject matter.
